SOCALHONDA.COM HONDA HELPFUL AWARDS CONTEST

1. HOW TO NOMINATE SOMEONE: Go online to www.socalhonda.com and click on the link to enter the Honda Helpful Awards Contest ("Contest"). Contest entry forms will also be available at participating Southern California Honda dealers throughout the month of October. Submit an essay of 200 words or less describing why someone you know deserves to win a new Honda (i.e., how this person impacts other people), how a new Honda would impact the person’s life and which model of Honda would help the person the most. Eligible Honda models include 2008 Accord LX (4 Door), 2008 Civic LX (4 Door), 2008 Element LX, 2008 Odyssey LX, 2008 Pilot VP, 2008 CR-V, 2008 Ridgeline RT, 2008 S2000, 2008 Fit, and 2008 Civic Hybrid (4 Door). You may only select one model. Entries that do not specify a model are void. Please include specific examples regarding how a new Honda would impact their life. See section 5 for essay details. You may not nominate yourself. All entries must include the following: 1) your name, complete address, date of birth, daytime and evening telephone numbers, and valid email address; and 2) the name of the person you are nominating and their daytime phone number and email address. Contest begins on September 1, 2008 at 12:00:00 AM Pacific Time (“PT”) and ends November 1, 2008 at 11:59:59 PM PT (“Contest Period”). Online entries must be received by 11:59:59 PM PT on November 1, 2008. Entries will be accepted at participating dealerships through close of business on November 1, 2008.

Southern California Honda Dealers Association (“Sponsor”) and its agents are not responsible for illegible or incomplete written entries or for any failures and/or delays in on-line transmissions, malfunction or failure of any Internet connection, malfunction or failure of software or hardware, or any other errors or delays in the transmission of entries, whether human or technical in nature. All entries become the exclusive property of Sponsor and will not be returned. Normal Internet access, phone, and usage charges imposed by your online or phone service may apply. You may nominate one (1) person only. Submissions nominating more than one (1) person will be disqualified. Bulk, automated and/or third party entries are prohibited and will be disqualified. Multiple participants are not permitted to share the same email address. Any attempt by any participant to obtain more than the stated number of entries by using multiple and/or different identities, forms, registrations, email addresses, logins, or any other methods will void that participant's entries, and that participant may be disqualified at Sponsor’s discretion. In the event of a dispute as to any online entry, the authorized account holder of the email address used to register will be deemed to be the registrant or player. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder to the Sponsor or forfeit the prize. Entries specifying an invalid, non-working, or inactive email address will be disqualified and ineligible to win.

Sponsor and Sponsor’s agents, affiliates, subsidiaries, representatives or service providers may use entrants’ and/or nominees’ personal information submitted with entry for purposes of prize fulfillment and/or for future marketing by Sponsor, such as to notify them of a product or promotion that Sponsor thinks may be of interest.

2. ELIGIBILITY: Entrants and nominees must be legal residents of California who are 19 years of age or older. Void outside California and where prohibited by law. All federal, state and local laws, regulations, and ordinances apply. Employees, officers, and directors of Sponsor or any of their respective parents, affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies, web site providers, web masters, and members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and those living in the same household are not eligible to enter or win. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and to Sponsor’s decisions, which are final and binding in all matters related to the Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein. All entrants and nominees must have access to the Internet prior to the start of the Contest. Sponsor reserves the right to verify the eligibility of winners.

3. JUDGING AND SELECTION OF WINNERS: On or about November 8, 2008 eligible essays will be judged by a qualified panel of judges selected by Sponsor in Sponsor's sole discretion based on the following criteria: Nominee's Impact On Others (40%); How a New Honda Would Impact Nominee's Life (50%) and Quality of Essay (10%) (the “Winner Selection Criteria”). The ten highest scoring entries will be deemed finalists and will be judged by a panel of judges comprised of members of the Board of the Southern California Honda Dealers Association (the “Finalist Panel”). The potential winners will be the three (3) people described in the essays given the highest three (3) scores by the Finalist Panel. Judges’ decisions are final and binding on all matters relating to this Contest. In the event of a tie, tied entries will be re-judged by the Finalist Panel using the same Winner Selection Criteria.

Potential winners will be notified by phone and email. If a prize notification email is returned as undeliverable or the potential winner cannot be contacted for any reason within seven (7) days after the first attempt to contact him/her, that potential winner will be deemed to have forfeited the prize, and Sponsor will select an alternate potential winner in his/her place based on the next highest score given by the Finalist Panel. Limit one (1) prize per person per household. Entrants are not eligible to receive any prize and will not receive any compensation or credit for use of essays by Sponsor. Except where legally prohibited, potential winners will be required to sign, notarize, and return an Affidavit of Eligibility and Liability/Publicity release form within ten (10) days of prize notification or potential winner will be disqualified and prize may be awarded to an alternate winner. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner based on the next highest score given by the Finalist Panel.

Verification of Potential Winners: ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE CONTEST. A NOMINEE IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL NOMINEE’S AND ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND BOTH HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. Winning a prize is contingent upon fulfilling all requirements set forth herein. Winning a prize is contingent upon intellectual property approval (including, but not limited to a search that clears the essay submission) and marketing approval by Sponsor. Such approval shall be granted or denied in Sponsor’s sole discretion. Sponsor reserves the right to not award prizes if, in its sole discretion, it does not receive a sufficient number of eligible and qualified entries. Non-winning entrants will not be notified.

4. PRIZES/APPROXIMATE RETAIL VALUES ("ARV"): Three (3) Grand Prizes: The nominees who are the subject of each of the three (3) highest scoring essays will be awarded the 2008 Honda model specified in the essay (including a cash offset for taxes, as set forth below), subject to verification of nominee's eligibility. Honda models include:

Prize Restrictions: Limit one (1) prize per nominee. Every potential winner must have a valid U.S. driver’s license and proof of insurance to take delivery of vehicle; failure to show same may result in prize forfeiture and selection of an alternate winner. Prize is not transferable. Vehicle will be delivered with standard equipment and factory options; any additional factory options are at the sole expense of the Winner. Color and other prize specifics to be determined by Sponsor and are subject to availability. Sponsor does not make, nor in any manner is responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Vehicle including but not limited to its quality, fitness for purpose or mechanical condition. Winner will be responsible for title, license, insurance and registration fees required in claiming the Vehicle, as well as all other expenses relating to the receipt and use of vehicle, including any travel and transportation costs associated with collecting the vehicle. Any and all applicable federal, state, and local taxes and all fees and expenses related to acceptance and use of prizes not specifically stated herein are the sole responsibility of the individual prize winner. Winner will be provided instructions on how to obtain his/her Grand Prize vehicle at a Honda dealership to be determined by Sponsor near winner's residence. Winner must take delivery of vehicle within 30 days of notification that vehicle is available for delivery. As a model year progresses, changes may occur in some of the specifications, features, optional equipment and pricing. Sponsor reserves the right to substitute a model of equal or greater value at its sole discretion. Sponsor will not replace any lost or stolen prizes. Prizes cannot be used in conjunction with any other promotion or offer. Cash portion of prize will be awarded as a check made payable to winner. Vehicle may not be redeemed for cash and no substitutions will be permitted, except at the sole discretion of Sponsor.

5. Essay Details:Essays must be written in English and must be true. Sponsor reserves the right to verify the accuracy of essays. Essays must be the nominator’s original creation, may not have been published or previously won any other contest award, may not infringe third party rights (including, without limitation, trademark, copyright, and/or any other intellectual property rights), and must be suitable for publication and consistent with Sponsor's brand image, as determined at the sole discretion of Sponsor. Essay may not defame any individual or violate the right of publicity or privacy of any person, living or dead. Entries not complying with all rules are subject to disqualification in Sponsor’s sole discretion. No correspondence regarding entries will be entered into with entrants.

6. PUBLICITY/OWNERSHIP AND USE OF ENTRY: EXCEPT WHERE PROHIBITED BY LAW, ENTRANTS THAT NOMINATE WINNERS AND WINNERS GRANT TO SPONSOR (WHICH GRANT WILL BE CONFIRMED IN WRITING ON REQUEST OF SPONSOR), THEIR SUBSIDIARIES, AFFILIATES, RETAILERS, DISTRIBUTORS, ADVERTISING AND PROMOTION AGENCIES, SUPPLIERS, AND THOSE ACTING PURSUANT TO ITS AUTHORITY, THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING BUT NOT LIMITED TO THE WORLD WIDE WEB, AT ANY TIME OR TIMES, THE NAME, PORTRAIT, PICTURE, VOICE, LIKENESS, AND BIOGRAPHICAL INFORMATION OF THE ENTRANTS THAT NOMINATE WINNERS AND THE WINNERS. SPONSOR MAY USE THESE RIGHTS FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES (INCLUDING THE ANNOUNCEMENT OF NAMES ON TELEVISION OR RADIO BROADCAST OR ON SPONSOR’S WEB SITE) WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION.

By submitting an entry, entrant agrees that Sponsor shall own any entry, communications or submissions, creative suggestions, ideas, notes, concepts or other materials ("Comments") that entrant may send to www.socalhonda.com or otherwise to Sponsor, including all rights embodied therein, whether sent via the entry form, by electronic mail or by some other means, with the exception of Personally Identifiable Information as defined in the www.socalhonda.com Internet Privacy Policy. SUCH COMMENTS SHALL BE DEEMED TO BE NON-CONFIDENTIAL, NON-PROPRIETARY AND SPONSOR SHALL HAVE NO OBLIGATION OF ANY KIND WITH RESPECT TO SUCH COMMENTS AND SHALL BE FREE TO EDIT, EXPLOIT, MODIFY, PUBLISH, REPRODUCE, USE, DISCLOSE, DISSEMINATE AND DISTRIBUTE THE COMMENTS TO OTHERS WITHOUT LIMITATION IN ANY AND ALL MEDIA NOW KNOWN OR NOT CURRENTLY KNOWN, THROUGHOUT THE WORLD IN PERPETUITY FOR ANY PURPOSE WITHOUT COMPENSATION, PERMISSION OR NOTIFICATION TO ENTRANT OR ANY THIRD PARTY. ENTRANT HEREBY GRANTS SPONSOR A ROYALTY FREE, IRREVOCABLE, AND WORLDWIDE, IN PERPETUITY LICENSE TO USE THE COMMENTS IN ANY FORM OR FORMAT AND TO MODIFY THE SAME, AND ACKNOWLEDGES AND AGREES THAT IF SPONSOR DOES USE THE COMMENTS ENTRANT SHALL NOT BE ENTITLED TO ANY CREDIT, CONSIDERATION, NOTICE OR PAYMENTS OF ANY KIND. ENTRANT WAIVES ANY MORAL RIGHTS HE OR SHE MAY HAVE TO THE COMMENTS, AND AGREES THAT IF SPONSOR ELECTS TO USE COMMENTS FOR ANY PURPOSE, ALL RIGHTS UNDER COPYRIGHT OR OTHER INTELLECTUAL PROPERTY RIGHTS WHICH MAY RESULT FROM THAT RELATING TO ENTRANT'S COMMENTS OR FROM USE OF THE SAME BY SPONSOR SHALL BE THE SOLE PROPERTY OF SPONSOR. ENTRANT FURTHER AGREES THAT IF SPONSOR ELECTS TO USE ENTRANT'S COMMENTS, ENTRANT WILL EXECUTE ANY DOCUMENTS REQUESTED BY SPONSOR REGARDING THIS ASSIGNMENT. IF ANY USE BY SPONSOR OF THE COMMENTS CAUSES IT TO BE LIABLE TO ANY THIRD PARTY, ENTRANT AGREES TO INDEMNIFY SPONSOR, ITS AGENTS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, REPRESENTATIVE AND ALL RELATED PARTIES FROM AND AGAINST ANY AND ALL DAMAGES, COSTS, JUDGMENTS AND EXPENSES (INCLUDING REASONABLE ATTORNEY FEES) WHICH IT INCURS AS A RESULT OF ITS USE OF THE COMMENTS.

7. RELEASE, ASSIGNMENT, AND LIMITATIONS OF LIABILITY: Entrants agree that, by submitting an entry, and winners agree that, by accepting a prize, Sponsor and its affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies, web site providers, web masters, and each of their respective officers, directors, employees, representatives, and agents (the “Released Parties”) are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s or nominee’s participation in the Contest or receipt or use or misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Contest, provided that if it is not possible to award another entry due to discontinuance of the Contest, or any part of it, Sponsor, at its discretion, may elect to judge all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In event that production, technical, seeding, programming or any other reasons cause more than stated number of prizes as set forth in these Official Rules to be available and/or claimed. Sponsor reserves the right to award only the stated number of prizes in accordance with the Winner Selection Criteria described above.

BY PARTICIPATING IN THIS CONTEST, ENTRANTS AND WINNERS AGREE THAT THE RELEASED PARTIES WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS AND WINNERS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF THE PRIZE, ENTRY, OR PARTICIPATION IN THIS CONTEST OR IN ANY CONTEST-RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY PRIZE CANNOT BE AWARDED DUE TO TRAVEL CANCELLATIONS, DELAYS, OR INTERRUPTIONS DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, OR TERRORISM.

BY PARTICIPATING IN THIS CONTEST, ENTRANTS AND WINNERS AGREE THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF INTERNET SITE HTTP://WWW.SOCALHONDA.COM OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS CONTEST, INCLUDING THE WEB SITE AND ALL PRIZES, ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. 8. GENERAL CONDITIONS:If for any reason this Contest is not capable of running as planned, Sponsor reserves the right, in its sole discretion to modify, cancel, or suspend this Contest due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, as determined by Sponsor in its sole discretion. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be attempting to tamper with or undermine the entry process, the web site, and/or the legitimate operation of the Contest; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting participation in this Contest or downloading any materials in this Contest. Proof of sending or submission of entry will not be deemed proof of receipt by Sponsor. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If, for any reason, the Contest is not capable of running as planned, Sponsor may, in its sole discretion, void any suspect entries and (a) cancel or terminate the Contest (or any portion thereof); (b) modify the Contest or suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules; or (c) award the prizes based on a judging of the essays from among the eligible, non-suspect entries received up to the time of the impairment.

CAUTION: ANY ATTEMPT TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST OR TO DELIBERATELY DAMAGE ANY WEB SITE ASSOCIATED WITH THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

9. DISPUTES: Except where prohibited by law, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgment, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
